Terms of Service

1. Acceptance of Terms

By accessing or using GuardOps ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization ("Customer"), you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

GuardOps is a cloud-based security workforce management platform that provides:

  • Web Dashboard for administrators and managers to schedule shifts, manage guards, review reports, monitor live guard locations, and manage billing.
  • Mobile Application for security guards to clock in/out of shifts, submit Daily Activity Reports (DARs), file Incident Reports (IRs), complete tasks, and receive notifications.
  • Proof-of-Service Features including GPS-verified clock-in/out, selfie-based identity verification, camera-enforced evidence photos, geofence monitoring, and live location tracking.
  • Reporting and Compliance Tools including exportable shift records, incident documentation, and certification tracking.

3. Account Registration

3.1 Company Accounts. A company administrator must register for GuardOps by providing a company name, email address, and password. The administrator is responsible for maintaining the confidentiality of their account credentials.

3.2 Invited Users. Administrators may invite managers, supervisors, and guards to join their company account. Invited users must set a password and accept these Terms to complete account setup.

3.3 Account Accuracy. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4. Subscription and Billing

4.1 Plans. GuardOps offers subscription plans as described on our website. Features and pricing are subject to change with 30 days’ notice.

4.2 Free Trial. New accounts may receive a free trial period. At the end of the trial, you must select a paid plan to continue using the Service.

4.3 Payment. Payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are quoted in US dollars and are non-refundable except as required by law.

4.4 Cancellation. You may cancel your subscription at any time through the billing section of the dashboard. Cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.
  • Interfere with or disrupt the Service or related infrastructure.
  • Upload malicious code, viruses, or harmful content.
  • Circumvent or disable security features, including Row-Level Security policies.
  • Use the Service to harass, stalk, or monitor individuals without proper authorization and legal basis.
  • Share account credentials with unauthorized persons.
  • Falsify clock-in/out records, location data, or verification photos.
  • Use the Service’s location tracking features for purposes other than legitimate workforce management.

6. Employee Monitoring Responsibilities

6.1 Customer Obligations. If you are a Customer using GuardOps to monitor employees, you are solely responsible for: complying with all applicable federal, state, and local laws regarding employee monitoring (including location tracking and biometric data collection); providing adequate notice to employees about GuardOps’s monitoring capabilities before deployment; obtaining any legally required consent from employees; establishing and communicating clear workplace policies regarding the use of GuardOps; and complying with the Washington State Employee Monitoring Act and any equivalent laws in your jurisdiction.

6.2 Location Tracking Disclosure. GuardOps tracks guard locations during active shifts. Customers must inform their employees that GPS location data is collected while they are clocked in. Customers acknowledge that GuardOps does not track guards during off-duty hours.

6.3 Photo Verification Disclosure. GuardOps captures selfies during login and clock-in for identity verification purposes. Customers must inform their employees about this feature. In jurisdictions with biometric data laws (e.g., Illinois BIPA, Texas CUBI, Washington State), Customers are responsible for obtaining required written consent.

7. Data Ownership and Intellectual Property

7.1 Your Data. You retain all ownership rights to the data you submit to GuardOps, including guard profiles, shift records, reports, and photographs ("Customer Data"). We do not claim ownership of Customer Data.

7.2 License to Us. You grant us a limited license to use, store, process, and display Customer Data solely for the purpose of providing and improving the Service.

7.3 Our Intellectual Property. GuardOps, including its software, design, logos, and documentation, is the property of Bizalux LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8. Data Security and Availability

8.1 Security Measures. We implement industry-standard security measures as described in our Privacy Policy, including encryption, Row-Level Security, private storage buckets, and access controls.

8.2 Uptime. We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

8.3 Data Backup. Customer Data is stored on Supabase-managed infrastructure with automated backups. However, we recommend that Customers maintain their own backups of critical data.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
  • WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Bizalux LLC, its officers, directors, and employees from any claims, damages, losses, or expenses (including attorney’s fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law regarding employee monitoring; or (d) any claim by your employees related to your use of GuardOps’s monitoring features.

11. Termination

11.1 By You. You may terminate your account at any time by canceling your subscription and contacting us at info@getguardops.com.

11.2 By Us. We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or engage in activity that threatens the security or integrity of the Service. We will provide reasonable notice where possible.

11.3 Effect of Termination. Upon termination, your access to the Service will cease. We will retain your data for 30 days to allow for export, after which it will be permanently deleted, except as required by law.

12. Dispute Resolution

12.1 Governing Law. These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles.

12.2 Arbitration. Any dispute arising from these Terms shall be resolved through binding arbitration in King County, Washington, under the rules of the American Arbitration Association. This does not prevent either party from seeking injunctive relief in court.

12.3 Class Action Waiver. You agree that any disputes will be resolved on an individual basis and not as part of a class, consolidated, or representative action.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to account administrators at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bizalux LLC regarding the Service.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
  • Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger or acquisition.
